This summary is for orientation. The full terms below are what binds you.

1. Who we are and these terms

These terms are an agreement between the company you represent ("you", "Customer") and Hadar Company S.A., a company registered in Panama, with its address at Calle 50, Edificio Frontenac, piso 4, oficina 5B, Panama ("AddSync", "we", "us"). They cover the AddSync websites, AddSync AI ("Mail AI") and AddSync Sync, and any plan or trial you use.

You accept these terms when you create an account, start a trial or pilot, or use the service. If you accept them for a company, you confirm that you may bind it. If you do not agree, do not use AddSync.

AddSync is a service for businesses and organisations. It is not offered to consumers.

2. The service

AddSync is software that we run for you:

  • Mail AI lets your people use their own AI tool, or the AddSync chat, to work with their mailbox and calendar. Data filters, human approval and a journal control what the AI sees and does.
  • Sync keeps calendars, contacts and tasks in step between systems that you connect, such as Exchange Server, Microsoft 365, Outlook.com, Google, Apple Calendar, HCL Domino, Zoom and CalDAV. What is supported depends on the system.

We may improve, change or remove features, and we will give notice before we remove a feature that you rely on in a paid plan. We do not promise that the service is uninterrupted or free of errors, but we work to keep it available and safe.

3. Accounts and administrators

  • You provide accurate information and keep your sign-in details secret.
  • Your administrators add users up to the number of accounts you bought, and are responsible for how those users use AddSync.
  • You make sure that you have the right to connect each mailbox, calendar and system to AddSync, and that the people concerned know about it as the law requires.
  • You tell us at once if you think an account was misused.

4. Plans, billing and renewal

  • Plans. The plans, features and prices are on our pricing page. They are priced per account, per month or per year. We may change prices for a later period, and we give notice before it applies to you.
  • Payment. You pay in advance. Our payment provider, Paddle, sells the service to you as the seller of record. It collects the payment, issues the invoice and handles sales taxes such as VAT, and its terms apply to the payment.
  • Renewal. A plan renews automatically for the same period until you cancel it.
  • Changing accounts. You can add accounts at any time. A change to a lower number applies from the next period.
  • Cancelling. You can cancel before the next renewal. The service then runs until the end of the period that you paid for.
  • Refunds. Fees already paid are not refunded, unless the law or the refund terms shown at purchase say otherwise.
  • Late payment. If a payment fails, we may suspend the service after notice.

5. Trials and pilots

We may offer a free trial or a pilot, for example a 14-day pilot of AddSync AI. The length and limits are shown when you start. Trials are for evaluation, are provided as they are, and can be ended by either side. At the end, the service stops unless you buy a plan.

6. Acceptable use

You and your users will not:

  • break the law, or use AddSync to harm, harass, deceive or spy on people;
  • connect mailboxes or systems that you have no right to access;
  • send spam, malware or unlawful content, or use AddSync to get around the security of another system;
  • attack, overload, probe or test the service without our written permission, or work around limits, filters or approvals;
  • copy, resell, rent or offer the service to others, except as agreed in a partner agreement;
  • reverse engineer or copy the software, except where the law allows it;
  • use the service to build a competing product.

7. AddSync AI: your responsibilities

  • Choice of AI. With option A you choose the AI tool and account, and its provider's terms apply between you and that provider. With option B you use the AddSync chat, with a model hosted in the EU region.
  • Output can be wrong. AI can make mistakes, miss context or invent facts. You and your users must check the results before relying on them, especially before sending a message, changing a calendar or deciding anything about people.
  • Approval and filters. Your administrator sets the data filter, and your users approve actions that change data. You are responsible for these settings and for how your people use the output.
  • No professional advice. AddSync does not give legal, financial, medical or other professional advice.
  • No training. We do not use the content of your mailboxes and calendars to train AI models.

8. Connected services and third parties

AddSync works with services of other companies, such as Microsoft, Google, Apple, Zoom, HCL and your AI provider. Their terms apply to your use of them, and you must follow them. They can change or limit their services, and we are not responsible for that. If a connected service changes in a way that stops a feature, we will work to adapt, but we cannot promise it.

9. Your data and privacy

You own your data. You give us the right to process it, only to provide, secure and support the service for you. Our Privacy Policy explains how we handle personal data. For the content that you process through AddSync, you are the controller and we are the processor. Business customers can ask for a data processing agreement, including Standard Contractual Clauses, at contact@add-sync.com.

You are responsible for having a lawful basis to process the data, for informing the people concerned, and for the settings you choose. When your plan ends, you can export your configuration, and we delete your service data within the period stated in your agreement and the Privacy Policy.

10. Intellectual property

We own AddSync, including the software, the design, the documentation and the brand, and we grant you a limited, non-exclusive, non-transferable right to use the service during your plan. You keep your rights in your data. If you send us feedback, we may use it without owing you anything. These terms do not give you any right to our name or logo, except as agreed in writing.

11. No warranties

To the extent that the law allows, AddSync is provided "as is" and "as available". We give no warranty that it meets your needs, works without interruption or error, or that AI output is correct. Warranties that the law implies are excluded where it allows, such as fitness for a particular purpose and non-infringement.

12. Limits of liability

  • To the extent that the law allows, we are not liable for indirect or consequential loss, lost profit, lost revenue, lost data, or loss of goodwill.
  • Our total liability for all claims arising from the service in any 12 months is limited to the fees you paid us for the service in the 12 months before the event.
  • Nothing limits liability that the law does not allow to be limited, such as liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

13. Your indemnity

You will defend us against third-party claims that come from your data, from your use of AddSync in breach of these terms or the law, or from connecting systems that you had no right to connect, and you will pay the damages and costs that a court finally awards or that we agree with you in settlement. We will tell you of the claim promptly and let you help in its defence.

14. Suspension and termination

  • You can stop using AddSync and cancel your plan at any time, as described in section 4.
  • We can suspend or end your access at once if you seriously breach these terms, if you do not pay, if the use puts the service or others at risk, or if the law requires it. Where it is reasonable, we tell you first.
  • We can end the service for all customers, with at least 90 days' notice, and we refund the prepaid fees for the time after it ends.
  • Sections that by their nature should continue, such as those on fees owed, intellectual property, liability, indemnity and governing law, continue after the end.

15. Governing law and disputes

These terms and any dispute that comes from them are governed by the laws of the Republic of Panama. The courts of Panama City have exclusive jurisdiction, unless mandatory law in your country says otherwise. Before you start a claim, please write to us at contact@add-sync.com, so that we can try to solve the problem in good faith.

16. General

  • Changes. We may update these terms. For material changes we give notice by email or in the product before they apply to you, and if you do not accept them you may cancel before they take effect.
  • Entire agreement. These terms, the plan you buy, and any signed agreement are the whole agreement. If they conflict, the signed agreement prevails.
  • Sanctions and export. You will not use AddSync if you are on a sanctions list or in a way that breaks applicable trade laws.
  • Force majeure. Neither side is liable for failure caused by events outside its reasonable control.
  • Assignment. You may not transfer these terms without our consent. We may transfer them to a company that takes over the service.
  • Severability and waiver. If part of these terms is invalid, the rest stays in force. Not enforcing a right is not a waiver of it.
  • Notices. We send notices to the email address of your administrator. You send notices to contact@add-sync.com.
  • Language. The English version controls if there is a translation.
